| | | 3.__General partner may implead, compel contribution.__A | | general partner against which an action is commenced under | | subsection 1 may: |

| | | A.__Implead in the action any other person that is liable | | under subsection 1 and compel contribution from the person; | | and |

| | | B.__Implead in the action any person that received a | | distribution in violation of subsection 2 and compel | | contribution from the person in the amount the person | | received in violation of subsection 2. |

| | | 4.__Action within 2 years.__An action under this section is | | barred if it is not commenced within 2 years after the | | distribution. |

| | | §1371.__Dissociation as limited partner |
|
| | | 1.__Prohibited before termination.__A person does not have a | | right to dissociate as a limited partner before the termination | | of the limited partnership. |
|
| | | 2.__Dissociation upon occurrence of event.__A person is | | dissociated from a limited partnership as a limited partner upon | | the occurrence of any of the following events: |
|
| | | A.__The limited partnership's having notice of the person's | | express will to withdraw as a limited partner or on a later | | date specified by the person; |
|
| | | B.__An event agreed to in the partnership agreement as | | causing the person's dissociation as a limited partner; |
|
| | | C.__The person's expulsion as a limited partner pursuant to | | the partnership agreement; |
|
| | | D.__The person's expulsion as a limited partner by the | | unanimous consent of the other partners if: |
|
| | | (1)__It is unlawful to carry on the limited | | partnership's activities with the person as a limited | | partner; |
|
| | | (2)__There has been a transfer of all of the person's | | transferable interest in the limited partnership, other |
