3.__Evidence of existence or authority.__Subject to any qualification stated in the certificate, a certificate of existence or certificate of authority issued by the Secretary of State may be relied upon as conclusive evidence that the domestic or foreign limited partnership is in existence or is authorized to transact business in this State.

4.__Certificate of fact.__In addition to the certificate authorized under subsection 2, the Secretary of State may issue a certificate attesting to any fact of record in the office of the Secretary of State that may be requested by the applicant under subsection 1.

§1330.__Annual report and amended annual report of domestic and

foreign limited partnerships; failure to file annual

report; penalty

1.__Annual report. Each domestic limited partnership and each foreign limited partnership authorized to do business in this State shall file, within the time prescribed by this chapter, an annual report.

A.__The annual report must set forth:

(1)__The name of the limited partnership;

(2)__The name of its registered agent and the address of its registered office in this State, including the street or rural route number, town or city and state, and, in the case of a foreign limited partnership, the address of its registered or principal office;

(3)__A brief statement of the character of the business in which the limited partnership is actually engaged in this State, if any; and

(4)__The name and business or residence address of each general partner, including the street or rural route number, town or city and state.

B.__The Secretary of State shall specify by rule the period of time to which the annual report applies as provided in paragraph C.__The information contained in the annual report must be current as of the date the report is signed.
