A.__A statement of resignation;

B.__The names, jurisdiction and date of formation of all the limited partnerships; and

C.__An affidavit, signed by the registered agent, setting forth the following information:

(1)__The date on which the statement of resignation was sent by certified or registered mail to a general partner of each limited partnership from which the registered agent is resigning as registered agent; and

(2)__The name, capacity and address of the general partner for each limited partnership to which the statement of resignation was sent.

2.__Effectiveness of statement.__A statement of resignation takes effect under this paragraph on the 31st day after the Secretary of State files the statement.

3.__Effect of resignation.__When a statement of resignation takes effect, the registered agent ceases to have responsibility for any matter tendered to it as registered agent for the limited partnership.

4.__Resignation of agent; appointment by limited partnership; service of process. After receipt of the statement of the resignation of its registered agent under subsection 1, paragraph C, a limited partnership shall file a statement required by section 1315 designating a new registered agent. Until the limited partnership duly files a statement appointing a new registered agent, legal process against the limited partnership may be served upon the Secretary of State in accordance with section 1317.

§1317.__Service of process

1.__Agent for service of process, notice or demand.__An agent for service of process appointed by a limited partnership or foreign limited partnership is an agent of the limited partnership or foreign limited partnership for service of any process, notice or demand required or permitted by law to be served upon the limited partnership or foreign limited partnership.
