B.__To attach or logically associate an electronic symbol, sound or process to or with a record with the present intent to authenticate the record.

20.__State.__"State" means a state of the United States, the District of Columbia, Puerto Rico, the United States Virgin Islands or any territory or insular possession subject to the jurisdiction of the United States.

21.__Transfer.__"Transfer" includes an assignment, conveyance, deed, bill of sale, lease, mortgage, security interest, encumbrance, gift and transfer by operation of law.

22.__Transferable interest.__"Transferable interest" means a partner's right to receive distributions.

23.__Transferee.__"Transferee" means a person to which all or part of a transferable interest has been transferred, whether or not the transferor is a partner.

§1303.__Knowledge and notice

1.__Knowledge.__A person knows a fact if the person has actual knowledge of it.

2.__Notice.__A person has notice of a fact if the person:

A.__Knows of it;

B.__Has received a notification of it;

C.__Has reason to know it exists from all of the facts known to the person at the time in question; or

D.__Has notice of it under subsection 3 or 4.

3.__Certificate of limited partnership.__A certificate of limited partnership on file in the office of the Secretary of State is notice that the partnership is a limited partnership and the persons designated in the certificate as general partners are general partners. Except as otherwise provided in subsection 4, the certificate is not notice of any other fact.
