| | 10.__Person.__"Person" means an individual, corporation, | limited liability company, business trust, estate, trust, | partnership, association, joint venture, government, governmental | subdivision, agency or instrumentality or any other legal or | commercial entity. |

| | 11.__Property.__"Property" means all property, real, personal | or mixed, tangible or intangible or any interest therein. |

| | 12.__State.__"State" means a state of the United States, the | District of Columbia, the Commonwealth of Puerto Rico or any | territory or insular possession subject to the jurisdiction of | the United States. |
|
| | 13.__Statement.__"Statement" means a statement of dissociation | under section 1074, a statement of dissolution under section | 1085, a statement of merger under section 1097, a statement | electing to be governed by this chapter prior to July 1, 2006 or | an amendment or cancellation of any of the foregoing. |
|
| | 14.__Transfer.__"Transfer" includes an assignment, conveyance, | lease, mortgage, deed and encumbrance. |

| §1002.__Knowledge and notice |
|
| | 1.__Knows.__A person knows a fact if the person has actual | knowledge of it. |
|
| | 2.__Has notice.__A person has notice of a fact if the person: |
|
| B.__Has received a notification of it; or |
|
| C.__Has reason to know it exists from all of the facts known | to the person at the time in question. |
|
| | 3.__Notifies or gives notification.__A person notifies or | gives a notification to another by taking steps reasonably | required to inform the other person in ordinary course, whether | or not the other person learns of it. |
|
| | 4.__Receives notification.__A person receives a notification | when the notification: |
|
| A.__Comes to the person's attention; or |
|
| B.__Is duly delivered at the person's place of business or | at any other place held out by the person as a place for | receiving communications. |
