In applying and construing this Act, consideration must be given to the need to promote uniformity of the law with respect to its subject matter among states that enact it.

§1452.__Relation to electronic signatures in global and national

commerce act

This chapter modifies, limits or supersedes the federal Electronic Signatures in Global and National Commerce Act, 15 United States Code, Section 7001 et seq., but this chapter does not modify, limit or supersede Section 101(c) of that Act or authorize electronic delivery of any of the notices described in Section 103(b) of that Act.

§1453.__Application to existing relationships

1.__Before July 1, 2008.__Before July 1, 2008, this chapter governs only:

A.__A limited partnership formed on or after July 1, 2007; and

B.__Except as otherwise provided in subsections 3 and 4, a limited partnership formed before July 1, 2007 that elects, in the manner provided in its partnership agreement or by law for amending the partnership agreement, to be subject to this chapter.

2.__On or after July 1, 2008.__Except as otherwise provided in subsection 3, on and after July 1, 2008, this chapter governs all limited partnerships.

3.__Existing limited partnerships.__With respect to a limited partnership formed before July 1, 2007, the following rules apply except as the partners otherwise elect in the manner provided in the partnership agreement or by law for amending the partnership agreement.

A.__Section 1304, subsection 3 does not apply and the limited partnership has whatever duration it had under the law applicable immediately before July 1, 2007.

B.__The limited partnership is not required to amend its certificate of limited partnership to comply with section 1321, subsection 1, paragraph D.

C.__Sections 1371 and 1372 do not apply and a limited partner has the same right and power to dissociate from the
